Sales of shares are often associated with a partner's or shareholder's retirement from a company. The company may transfer shares to children and/or grandchildren or to a third party such as the previous management (Management Buy Out). However, the sale of shares takes frequently place together with, or shortly after, the establishment of a business or during its period of growth. By this means, financial or strategic investors are included in the group of partners in order to provide the company with necessary funding. Initial public offerings also represent a sale of shares which, due to legal regulations and the requirements of the Deutsche Börse AG (German stock exchange), necessitates a much greater effort of organisational activities than an ordinary company sale.
Regardless of the reasons for a company sale, the seller's goal is profit optimisation. In order to achieve this goal, companies business data should be properly processed as early as during the initial negotiations with potential buyers. The respective documentation consists of the annual financial statements, interim and pro-forma financial statements, if required also based on International Accounting Standards, a business plan and, if applicable, an internal corporate evaluation to ensure a realistic approach when it comes to sale. The data room facilities, where all relevant data for a purchaser is collected and made available for inspection, are an important part of the company's representation vis à vis a potential buyer. The company's presentation plays an important role for the due diligence auditor.
